TERMINATION OF CONTRACT

Contracting Party may terminate this contract on 30 days notice to WEB DEVELOPERS for unsatisfactory performance.

DISCLAIMER

THIS IS AN AGREEMENT FOR CONTRACTING SERVICES. THE CONTRACTING PARTY PROVIDES NO BENEFITS SUCH AS UNEMPLOYMENT INSURANCE, HEALTH INSURANCE OR WORKER'S COMPENSATION INSURANCE TO WEB DEVELOPER.  CONTRACTING PARTY IS ONLY INTERESTED IN THE RESULTS OBTAINED BY THE CONTRACTOR. WEB DEVELOPERS SHALL BE RESPONSIBLE FOR PROVIDING ALL TOOLS AND MATERIALS REQUIRED FOR PERFORMANCE OF THE TASKS AGREED TO.
Nothing in this agreement implies that DEVELOPERS are required to make enhancements, technical writing, banners, or improvements to the site (design).  However, CUSTOMER(S) may order additional services at a cost set by the DEVELOPERS.
WEB DEVELOPER IS RESPONSIBLE FOR PAYMENT OF ALL FEDERAL, STATE, AND LOCAL INCOME TAXES.

This agreement may be terminated under two conditions:

1) a breach of the contract,
2) termination without a breach of the contract

If a breach of the contract is committed by the CUSTOMERS, the DEVELOPERS shall give a written notice specifying the alleged breach and permit the CUSTOMERS to cure the breach within 10 days. However if the DEVELOPER has previously complained of a substantially similar breach, the DEVELOPER may either:

a) issue a notice of immediate termination and terminate the contract the same day issued. All notices of alleged breaches shall be sent by the most expeditious means, such as fax, over night delivery, or electronic mail. If a breach of contract is committed by the DEVELOPERS, the CUSTOMER(S) shall give written notice specifying the alleged breach and permit the DEVELOPERS to cure the breach within 7 to 10 business days. However, if the CUSTOMER(S)  has previously complained of a substantially similar breach, the CUSTOMER(S)  may alternately issue a notice of immediate termination or allow a period of 15 business days to cure the breach. All notices of alleged breaches shall be sent by the most expeditious means, such as fax, over night delivery, or electronic mail, which the DEVELOPERS are not required to pay nor refund any funds that have been paid to the DEVELOPERS.  ALL payments are non-refundable.
In the event that a claimed breach by DEVELOPERS is the failure of the CUSTOMER(S)  to pay as agreed, 2-business days notice of intention to terminate may be given, although DEVELOPERS shall not be required to do so.
No failure or delay in exercising in right or failure to issue a notice of any breach shall not constitute a waiver of any rights herein

Breach by the CUSTOMER(S)  shall include, but not be limited to:
a) the CUSTOMER(S)  making or permitting any alteration of the web site without the prior agreement of the DEVELOPERS; the DEVELOPERS shall not be required to agree to any changes by third parties;
b) refusal of the CUSTOMER(S)  to reasonably cooperate with the DEVELOPERS; or failure to provide adequate web content prior/previous to the signing of the contract.
c) refusal of the CUSTOMER(S)  to permit updates;
d) refusal to pay the agreed contract amount; or late payments (payments are consider late if payment is not received or postmarked by 6:00 pm CST of agreed payment date in contract).
The contract may be terminated by either party without reference to a breach and without cause with 60 days written notice. At which time, all updates will halt and the developer will close all accounts.  If the contract is terminated by the Customers, final payment is due and the Customers are not required to pay any additional money.  If the contract is terminated by the Developers, the developers are not required to refund or pay any future money.
This is the entire agreement between the parties, and the same may only be altered by a writing executed by all parties hereto.

LATE PAYMENTS
Any installments more than 5 days past due will bear interest at the highest legal rate.

SERVICE & SUPPORT
Nothing in this agreement implies that DEVELOPERS are required to make enhancements, technical writing, banners, or improvements to the site (design).  However, CUSTOMER(S) may order additional services at a cost set by the DEVELOPERS.
